PUBLIC AGREEMENT (OFFER)
for providing access to online automotive parts catalogues
This Agreement constitutes an official and public offer by the Seller to enter into an agreement for providing access to digital services (online automotive parts selection catalogues) presented on the website autowikipro.com. This Agreement is public, meaning that in accordance with Article 633 of the Civil Code of Ukraine, its terms are identical for all Buyers regardless of their legal status (individual, legal entity, or sole trader) without preference for one Buyer over another. By entering into this Agreement, the Buyer fully accepts the terms and procedure for placing orders, paying for services, obtaining access, refunds, and all other terms of the Agreement. The Agreement is deemed concluded from the moment the Buyer confirms the order and completes payment.
1. Definitions
1.1. Public Offer (hereinafter — the “Offer”) — a public proposal by the Seller, addressed to an indefinite circle of persons, to enter into an agreement for the provision of digital services remotely (hereinafter — the “Agreement”) on the terms set out in this Offer.
1.2. Service — provision of online access to original automotive parts selection catalogues. Access is provided in the form of links, login/password credentials, or digital keys delivered via messenger.
1.3. Website — the Seller’s resource at autowikipro.com, through which services are provided.
1.4. Buyer — a legally capable individual who has reached the age of 18, or a legal entity or sole trader, who places an order for access to the catalogues.
1.5. Seller — Individual Entrepreneur Sydorenko Marharyta Mykhailivna (taxpayer registration number: 3101502545), acting in accordance with the current legislation of Ukraine, location: Ukraine, Zaporizhzhia.
1.6. Subscription — monthly access to the catalogues with automatic renewal (recurring payment) until cancelled by the Buyer.
2. Subject of the Agreement
2.1. The Seller undertakes to provide the Buyer with online access to automotive parts selection catalogues, and the Buyer undertakes to pay for and accept such access under the terms of this Agreement.
2.2. The date of conclusion of the Agreement (acceptance of the Offer) is the moment the Buyer completes payment via the WayForPay payment system.
2.3. The Agreement may be concluded on the terms of one-time access or a subscription (automatic monthly renewal). The type of access is selected by the Buyer when placing an order.
3. Order Placement
3.1. The Buyer independently places an order through the website autowikipro.com or by contacting the support team via messengers (Telegram, Viber, WhatsApp) or by email at autowikipro@gmail.com.
3.2. When placing an order, the Buyer must provide the following information:
- first and last name of the Buyer;
- contact phone number;
- preferred messenger and contact details for receiving access credentials;
- selected tariff and access type (one-time or subscription).
3.3. The Seller reserves the right to decline the fulfilment of an order if the information provided by the Buyer is incomplete or raises reasonable doubts as to its accuracy.
3.4. By entering into the Agreement, the Buyer confirms that they have read and accepted the terms of this Offer and consents to the processing of their personal data in accordance with the Law of Ukraine “On Personal Data Protection”.
4. Price and Payment
4.1. Service prices are set by the Seller and published on the website autowikipro.com in Ukrainian hryvnias (UAH).
4.2. Prices may be changed by the Seller unilaterally. The price of an already paid current subscription period shall not be changed.
4.3. Payment is made online using Visa and MasterCard bank cards via the WayForPay payment system.
4.4. For subscriptions, the next monthly payment is charged automatically on the same day of the month as the initial payment. The Buyer agrees to such automatic charges by activating a subscription.
4.5. The Buyer’s payment obligations are considered fulfilled from the moment the funds are received in the Seller’s account and confirmed by the WayForPay system.
5. Service Delivery and Access
5.1. Upon successful payment confirmation, access credentials (link, login/password, or digital keys) are sent to the Buyer via their chosen messenger (Telegram, Viber, WhatsApp, or another by agreement).
5.2. Access credentials are typically delivered within a few minutes to 2 hours after payment confirmation.
5.3. The service is entirely digital and provided internationally. No physical delivery of goods is carried out.
5.4. For subscriptions, access is extended for the next paid month following each successful automatic charge.
6. Subscription Cancellation and Refund Policy
6.1. The Buyer may cancel automatic subscription renewal at any time by contacting the support team at autowikipro@gmail.com or via messenger at least 24 hours before the next scheduled charge.
6.2. After cancellation, access to the catalogues remains active until the end of the already paid current period.
6.3. As the service is provided in the field of digital content and online database access, it is considered fully rendered at the moment access credentials are delivered to the Buyer’s messenger. Payments for an already paid and commenced subscription period are non-refundable.
6.4. A refund is possible only in the event of a confirmed technical failure on the Seller’s side that prevented use of the catalogues for more than 48 hours from the moment the Buyer officially contacted support. In such a case, the refund is processed automatically to the same bank card used for payment, within 30 calendar days.
6.5. To initiate a refund, the Buyer must contact the support team with a description of the issue and proof of payment.
7. Rights and Obligations of the Parties
7.1. The Seller undertakes to:
7.1.1. Provide the Buyer with access to the selected catalogues within the timeframes established by this Agreement.
7.1.2. Ensure the proper functioning of the service and catalogues.
7.1.3. Not disclose the Buyer’s personal data, except as required by law.
7.2. The Seller reserves the right to:
7.2.1. Amend the terms of this Agreement and prices unilaterally by publishing updates on the website autowikipro.com. Changes take effect upon publication.
7.2.2. Suspend service provision in the event of the Buyer’s breach of the terms of this Agreement.
7.3. The Buyer undertakes to:
7.3.1. Review the terms of this Agreement before concluding it.
7.3.2. Provide accurate contact information required for order fulfilment.
7.3.3. Not share the received access credentials with third parties without the Seller’s written consent.
7.3.4. Use the provided catalogues solely for personal, non-commercial purposes (unless otherwise agreed separately).
8. Liability
8.1. The Seller shall not be liable for failure to perform obligations due to the Buyer providing inaccurate information.
8.2. The Seller shall not be liable for disruptions in messenger services and internet connectivity that are outside the Seller’s control.
8.3. Both the Seller and the Buyer are released from liability for failure to fulfil obligations due to force majeure circumstances, including: war or military operations, earthquake, flood, fire and other natural disasters, decisions of state authorities, etc. The party unable to fulfil its obligations must promptly notify the other party.
9. Confidentiality and Personal Data Protection
9.1. By providing personal data when placing an order, the Buyer voluntarily grants the Seller consent to process, use (including transfer to third parties for the purpose of order fulfilment), and perform other actions with such data as provided by the Law of Ukraine “On Personal Data Protection”.
9.2. The Seller undertakes not to disclose the Buyer’s information to third parties, except in cases required for order fulfilment or by applicable law.
10. Miscellaneous
10.1. This Agreement is concluded in Ukraine and governed by the current legislation of Ukraine.
10.2. All disputes arising between the Parties shall be resolved through negotiation. If no agreement is reached, disputes shall be resolved in court in accordance with the applicable laws of Ukraine.
10.3. The Seller reserves the right to amend this Agreement unilaterally by publishing the updated version on the website autowikipro.com.
